Headline Entertainment was formed in September 1999 and is owned by Mike Taylor and Carl Walter. Headline produces and sells licensed apparel and related products and also manages an extensive production, sales and distribution program for a variety of high profile companies, including Signatures Network and Hot Topic, as more fully described below. Headline also manages production programs for select retailers and direct distribution to the customer for select catalog and on-line retailers. Headline has targeted appropriate distribution opportunities as a key element of its future growth and investment strategy.
The Headline Team
Two of the most important components of Headline’s operating structure are its distribution team, and the combined experience of Mike Taylor and Carl Walter in sales and distribution. The Headline distribution team is comprised of approximately 34 individuals, as follows:

The key managers in the Headline team have worked together under Mike Taylor for the last 12 years, utilizing the same MAS200 operating and distribution system throughout that time. The balance of the Headline team is comprised of a stable, experienced workforce of employees with an average time of service in excess of eight years.
Mike Taylor is a very capable and respected executive in the licensed apparel industry. Mike has 26 years of experience in the design, production, sale and distribution of licensed goods.
Mike’s most recent experience include Vice President of Sales & Distribution for Giant Merchandising, a $100+ million merchandising division of Warner Bros., General Manager and Vice President of Sales at Stanley Desantis, Inc., a $22 million licensing and merchandising company and President of Cronies, a $20 million company that handled all sales and distribution for Sony Signatures (the predecessor company to Signatures Network) from 1996 to 1999 along with procuring, selling and distributing its own licenses.
Carl Walter’s 23 years of experience in sales and distribution includes his roles as President at Laurel Burch, Inc. and as Senior Vice President of Operations and Distribution and CFO of Sony Signatures. At Laurel Burch he oversaw the sales and distribution activities of a $25 million wholesale apparel and gift business, including some $5 million in inventory and a 50,000 square foot distribution facility. At Signatures, his responsibilities included oversight of all operations and distribution related to the company’s $15 million wholesale division, its $40 million touring group and its $1 million newly formed, online sales division.
The Headline Operations
Headline’s operations are L.A. based within 10 minutes of the Burbank airport and within an hour of much of the greater L.A. basin. Headline leases a 20,000 square foot distribution facility at 7655 N. San Fernando Rd. in Burbank.
Headline’s main operating and accounting system is MAS200, run on Windows NT and also includes the extremely flexible and powerful Client Server database Module. Headline’s employees are highly experienced in the operation of this system as it relates to order entry, customer service, inventory management, pick and pack and invoicing and collections. In addition, Headline is in the process of installing a state-of-the-art web based MAS200 interface that will allow its customers or sales reps to order directly on line and for a variety of online customer service features. This new system will allow Headline’s contract distribution partners to easily and quickly obtain online information for their programs including inventory on hand, WIP, open orders and sales by customer, territory, sales group or a variety of other potential data base & search characteristics. Headline believes this new, fully integrated online application will not only improve the efficiency of its sales and distribution activities, but will also dramatically improve its ability to service its customers and distribution partners in real time.
Headline’s warehouse operations are overseen by an experienced management team that prides itself on shipping orders right and on time. Headline operates in an environment where the demands of retailers (in all channels of distribution) for special packaging and handling are only exceeded by their desire to get what they order quickly. Headline’s performance in that regard is consistently rated as among the highest in our industry by both the retailers we sell to and the sales groups that we work through.
Headline has a full service art and design group with full design capabilities. As such, Headline is able to offer a complete design and production interface to its distribution partners on a wide variety of products using a broad range of imprinting and customizing processes. Headline does not own any screenprinting or embroidery operation preferring instead to work with a group of companies in the L.A. basin that have proven them selves to be the best at what they do. Headline placed substantial business with these subcontractors as a result of its current distribution activities, primarily as they relate to Signatures Network, and Hot Topic, a leading trend retailer with 550+ stores nationwide.
While the actual sales information related to our various distribution agreements with Signatures Network, Aquarius Posters, Leading Edge Novelties, Whatever Company and Hot Topic are confidential, it is significant generating sales in the high 8 figure annual range. In addition, we manage inventory under these programs in the low 7-figure range. As a part of that agreement, we also provide full accounting services to all of our sales and distribution partners including their own MAS200 GL reports and financials.
Headline also procures it’s own trend licenses with product development capabilities to source, create, market, sell and distribute to retail over 148 different product categories.
